1. Agreeing to these terms
These Terms of Service ("Terms") are an agreement between you and [Your LLC legal name], doing business as RouteDough.com ("we," "us"), which operates the RouteDough.com website and app (the "Service"). By creating an account, ticking the box to agree, uploading any data, or otherwise using the Service, you agree to these Terms and to our Privacy policy. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so. If you don't agree, don't use the Service.
2. Who we are
RouteDough.com is software for independent distribution route owners, people evaluating routes to buy, and route brokers. We are a software provider only. We are not an accounting firm, tax preparer, law firm, financial advisor, lender, appraiser, broker or dealer, and we do not act as your agent with any distributor.
3. What the service does
The Service reads settlement statements and other records you provide and turns them into dashboards, calculations, charts, reports, exports and estimates. Features include weekly settlement summaries and cross-checks, store and order analysis, true-up tracking, dispute preparation, bookkeeping from bank and card exports, helper payroll tracking, loan tracking, route value estimates, deal and restructure analysis, buyer due diligence reports, route evaluations, peer benchmarks and a referral program. Features may change over time.
4. Your account
- You must be at least 18 and able to enter a binding contract.
- Give accurate sign-up information and keep your email account secure. Anyone with access to your email can sign in to your account, and you are responsible for activity under it.
- Tell us promptly at support@routedough.com if you believe your account has been accessed without your permission.
- One person or business per account. Don't share access outside your business.
5. Your data
"Your Data" means the settlements, statements, files and information you or your business upload or enter. You keep all ownership of Your Data. You give us a limited permission to store, copy, process and display Your Data only to provide, secure, support and improve the Service for you, and as described in our Privacy policy. If you opt in to peer benchmarks, you also permit us to include figures derived from Your Data in anonymous, aggregated statistics that never identify you or your route. We may use aggregated, de-identified information that cannot reasonably identify you, your route or your stores to operate and improve the Service.
6. What you promise about your data
You represent and warrant that:
- Your Data concerns your own business, route or account, or you have the legal right and any required permission to upload and use it;
- uploading and using Your Data with the Service doesn't breach any agreement you have, including any distributor, supplier, franchise, confidentiality or non-disclosure agreement, or any law; and
- you won't upload another person's or business's information without their authorization.
You are responsible for deciding whether your agreements with your distributor or others allow you to use the Service.
7. Accuracy and checking the numbers
You are solely responsible for the accuracy, completeness and lawfulness of Your Data. The Service reads documents automatically and checks them for internal consistency (for example, whether a statement's lines add up to its check), but it does not verify any figure with your distributor, bank or any other source. Documents can be misread, formats change, and estimates depend on assumptions. Always compare what the Service shows against your official statements and records before relying on it.
8. Not professional advice
Everything the Service produces is general information to help you review your own business. It is not accounting, tax, legal, financial, investment, lending, insurance, employment or appraisal advice, and it doesn't create any professional or fiduciary relationship. Talk to your own CPA, attorney, lender or other qualified advisor before making tax filings, legal claims, employment decisions, or decisions to buy, sell, borrow against or restructure a route.
9. Values, reports, grades and benchmarks
- Route values are simple estimates: a multiple you choose times your average weekly sales. They are not appraisals or offers, and a route may sell for more or less.
- Grades and analyses (restructure grades, deal comparisons, route evaluations, red flags, take-home and loan figures) are planning estimates based on the data provided and assumptions you can change. They are not recommendations to buy, sell, borrow or sign anything, and they don't include taxes or every cost.
- Buyer reports and other documents you download are prepared from Your Data at your direction. You decide whether and with whom to share them and are responsible for what you share, including any statements you make to a buyer, broker or lender. Recipients should rely on their own due diligence and the original records, not on our reports.
- Peer benchmarks are anonymous group statistics shown only when enough owners take part, and may not represent any particular market.
10. Disputes with your distributor
The Service can identify charges or credits you may want to question and prepare an evidence packet for you to send. You decide whether to raise any dispute, what to send and when. We don't contact your distributor for you, represent you, or guarantee any outcome. Deadlines shown (such as a 60-day window) are estimates based on the records provided; confirm the deadlines that apply to you in your own agreements.
11. Buyers, sellers and brokers
- If you evaluate a route you don't own, you confirm you received the settlements lawfully and are permitted to use them to evaluate a purchase, and you'll keep them confidential as your agreements with the seller or broker require. Evaluations are private to your account.
- An evaluation is a tool to help your own due diligence, not a substitute for it. We don't verify that a seller's documents are genuine or complete, and we're not a party to any purchase, sale, financing or brokerage arrangement.
- Moving an evaluated route into your account after you buy it doesn't transfer any rights from the seller or your distributor.
- Brokers use referral codes as described in section 16 and are not our agents or employees.
12. Bank, card and payroll records
Bookkeeping, helper payroll and CPA exports organize records you provide. Categories are suggestions; you and your accountant decide how any item is treated. Payroll features track amounts you enter and don't withhold, file or pay taxes. Flags such as "1099 likely" are reminders, not determinations of anyone's worker status or filing obligations.
13. No affiliation with distributors
RouteDough.com is independent. We are not affiliated with, endorsed by, sponsored by or acting for any distributor, bakery, manufacturer or their affiliates, including any company whose settlement statements the Service reads. Company names appear only to identify those documents, and they remain the property of their owners. Your relationship with your distributor is governed by your agreements with them.
14. Acceptable use
Don't: upload anything unlawful or anything you have no right to share; try to access another user's data or bypass security; probe, scan or overload the Service; copy, resell or reverse engineer the Service except as the law allows; use it to build a competing product; abuse the referral program; or use the Service to mislead buyers, lenders or anyone else.
15. Free trial, fees and billing
- New accounts get a free trial of 30 days with no credit card required. When it ends, continued use requires a paid subscription at the price shown when you subscribe.
- Subscriptions renew automatically each billing period until you cancel. You authorize us and our payment processor to charge your payment method for each period and any applicable taxes.
- You can cancel any time; cancellation stops future charges and takes effect at the end of the current period. Fees already paid are non-refundable except where the law requires otherwise.
- We may change prices with at least 30 days' notice. A change won't affect a period you've already paid for.
- If a payment fails, we may suspend paid features until it's resolved.
16. Referral program
- Each account receives a referral code. When a new user signs up with your code and pays for their first month, you earn one free month of the Service.
- A code applies only when the new user first signs up and during their trial, once per new user. You can't refer yourself, a duplicate or fake account, or an account you control.
- Free months have no cash value, can't be transferred or sold, and apply to your future subscription charges. They may expire if your account is closed.
- We may withhold or reverse rewards obtained through abuse, spam, misleading promotion or breach of these Terms, and may change or end the program with notice. Rewards already earned before a change will be honored.
- When you share your code, follow applicable laws, including those on unsolicited texts and email, and don't claim to speak for us.
17. Third-party services
We use trusted providers to run the Service (for example, hosting, database, email and payment processing). Their services are subject to their own terms. We aren't responsible for websites, files or services we don't control, including your distributor's systems or your bank's exports, which can change without notice and affect how the Service works.
18. Changes and availability
We may add, change or remove features. We aim to keep the Service available but don't promise it will be uninterrupted or error-free. Keep your own copies of your original statements; the Service is not a backup of your official records.
19. Disclaimer of warranties
To the fullest extent permitted by law, the Service and everything it produces are provided "as is" and "as available," without warranties of any kind, express, implied or statutory, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that results will match your distributor's or anyone else's figures.
20. Limitation of liability
To the fullest extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, savings, business opportunity, goodwill or data, or the cost of substitute services, arising from or related to the Service, including any decision you make to buy, sell, borrow against, restructure or dispute anything, and including where an error comes from data you provided; and (b) our total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of the fees you paid us in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars ($100). These limits apply to any theory of liability, even if we were told such damages were possible, and even if a remedy fails of its essential purpose.
Some jurisdictions don't allow certain limits, so some of them may not apply to you.
21. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless [Your LLC legal name] and its owners, employees and contractors from claims, losses and expenses (including reasonable attorneys' fees) arising from Your Data, your use of the Service, documents you share with others, your breach of these Terms, or your violation of any law or third-party right, including any agreement with your distributor.
22. Ending your use
You may stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, don't pay after your trial, misuse the Service, or if we stop offering it, with notice where reasonable. After closure, we handle Your Data as described in our Privacy policy, including deletion on request. Sections that by their nature should continue (including 5–9, 11–13, 16 as to earned rewards, and 19–25) survive.
23. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at support@routedough.com and try in good faith to resolve the issue for at least 30 days. Any legal action will be brought only in the state or federal courts located in [County], Texas, and you and we consent to their jurisdiction. Either party may bring a qualifying claim in small-claims court. To the extent permitted by law, claims must be brought individually, not as part of a class or representative action.
24. Changes to these terms
We may update these Terms. If a change is material, we'll give reasonable notice (for example, by email or in the app) before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. If you don't agree, stop using the Service and cancel.
25. General
These Terms and the Privacy policy are the entire agreement about the Service. If a provision is found unenforceable, the rest remain in effect. Not enforcing a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We aren't liable for delays caused by events beyond our reasonable control. Notices to you may be sent to your account email.
